SOUNDSCAPE MEDIA INC. PRIVACY POLICY

Last Updated: June 19, 2026

1. INTRODUCTION AND SCOPE

Soundscape Media Inc. ("Soundscape," "we," "us," or "our") is committed to protecting the privacy of individuals who interact with us. This Privacy Policy explains how we collect, use, disclose, and safeguard personal information in connection with the website located at www.soundscape.io and all associated subdomains, applications, and services (collectively, the "Site"), and in the course of providing our music licensing and related services.

This Privacy Policy is incorporated by reference into, and forms part of, the Soundscape Website Terms of Service (the "Terms"). Capitalized terms that are not defined here have the meaning given to them in the Terms. Where you have entered into a separate agreement with Soundscape — such as a subscription agreement or the Content Upload License & Representation Agreement — that agreement governs the licensing of content, while this Privacy Policy governs the handling of personal information.

We collect, use, and disclose personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.

2. ACCOUNTABILITY AND PRIVACY OFFICER

Soundscape is responsible for personal information under its control. We have designated a Privacy Officer who is accountable for our compliance with this Privacy Policy and applicable privacy laws. You may contact our Privacy Officer using the details set out in Section 18 (Contacting Us).

When we engage third-party service providers to process personal information on our behalf, we use contractual or other means to require those providers to protect personal information at a level comparable to the protection we provide.

3. INFORMATION WE COLLECT

3.1 Information You Provide

We collect personal information that you voluntarily provide, which may include your name, email address, mailing address, telephone number, account credentials, and billing or payment details. If you are an artist, composer, or content provider, we may also collect information necessary to administer licensing and royalties, such as payee details and rights-management identifiers.

3.2 Information Collected Automatically

When you use the Site, we may automatically collect technical information such as your browser type, device and operating system, IP address, referring URLs, and information about your interactions with the Site. Some of this information is collected through cookies and similar technologies (see Section 9).

3.3 Information From Third Parties

We may receive information about you from third parties such as payment processors, identity-verification providers, analytics providers, and rights or royalty administrators, where you have authorized them to share it or where otherwise permitted by law.

3.4 Payment Information

Payment card details are processed by our third-party payment processors. We do not store full payment card numbers on our own systems except to the limited extent necessary to administer your subscription and as permitted by applicable law and payment-card security standards.

We collect only the personal information reasonably necessary for the purposes described in this Policy. You may decline to provide certain information, but doing so may prevent you from using some features of the Site.

4. PURPOSES FOR WHICH WE USE PERSONAL INFORMATION

We use personal information for the following purposes:

(a) to create and administer your account and to provide the Site and our services;

(b) to process subscriptions, licenses, payments, and royalty accounting;

(c) to verify identity and rights ownership where relevant to licensing;

(d) to respond to inquiries and provide customer and technical support;

(e) to send administrative and service-related communications;

(f) to send marketing or promotional communications where you have consented, subject to your right to withdraw consent;

(g) to operate, maintain, secure, and improve the Site and our services;

(h) to detect, prevent, and address fraud, security incidents, and violations of the Terms; and

(i) to comply with legal obligations and enforce our agreements.

We will not use personal information for materially new purposes without identifying those purposes and, where required, obtaining your consent.

5. CONSENT

5.1 Obtaining Consent

We collect, use, and disclose personal information with your consent, which may be express or implied depending on the sensitivity of the information and the circumstances. By providing personal information to us, you consent to its handling as described in this Policy.

5.2 Commercial Electronic Messages

Where we send commercial electronic messages, we do so in accordance with Canada's Anti-Spam Legislation (CASL). Every marketing message includes an unsubscribe mechanism, and you may withdraw consent to marketing communications at any time without affecting the service-related communications necessary to administer your account.

5.3 Withdrawing Consent

Subject to legal and contractual restrictions and reasonable notice, you may withdraw your consent to our continued collection, use, or disclosure of your personal information by contacting our Privacy Officer. Withdrawing consent may limit or prevent our ability to provide certain services.

6. HOW WE DISCLOSE PERSONAL INFORMATION

6.1 No Sale of Personal Information

We do not sell, rent, or trade personal information.

6.2 Service Providers

We may disclose personal information to third-party service providers who perform functions on our behalf — such as payment processing, cloud hosting and storage, analytics, email delivery, and royalty or rights administration — solely for those purposes and subject to appropriate confidentiality and security obligations.

6.3 Legal and Protective Disclosures

We may disclose personal information where required or permitted by law, including to comply with a subpoena or legal process, to enforce our agreements, or to protect the rights, safety, or property of Soundscape, our users, or others.

6.4 Business Transfers

In connection with a merger, acquisition, financing, reorganization, or sale of all or part of our business, personal information may be disclosed or transferred as part of the transaction, subject to appropriate confidentiality protections.

6.5 Aggregated or De-identified Information

We may use and disclose aggregated or de-identified information that cannot reasonably be used to identify an individual.

7. ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING

Soundscape does not use your personal information (such as your name, contact details, or account information) to train artificial intelligence or machine-learning models. Any licensing of musical works, sound recordings, videos, or other catalog content for AI or machine-learning training is governed solely by the applicable content, subscription, or licensing agreement between you and Soundscape — including any opt-in or opt-out elections made under those agreements — and not by this Privacy Policy. This Privacy Policy addresses only the handling of personal information.

8. CROSS-BORDER TRANSFER AND STORAGE

Personal information may be stored or processed by us or our service providers in Canada or in other jurisdictions, including the United States. Where information is processed outside Canada, it may be subject to the laws of those jurisdictions, including lawful access requests by courts, law enforcement, and government authorities. We take reasonable steps to ensure that service providers handling personal information outside Canada provide a comparable level of protection. You may contact our Privacy Officer for information about our policies and practices regarding service providers located outside Canada.

9. COOKIES AND TRACKING TECHNOLOGIES

The Site uses cookies and similar technologies to enable core functionality, remember your preferences, analyze usage, and improve the Site. You may set your browser to refuse some or all cookies or to alert you when cookies are being used; however, certain features of the Site may not function properly if cookies are disabled. Where required by law, we obtain consent before deploying non-essential cookies.

10. DATA RETENTION

We retain personal information only for as long as necessary to fulfill the purposes for which it was collected, to provide our services, and to comply with our legal, accounting, tax, and contractual obligations. When personal information is no longer required, we take reasonable steps to securely destroy, erase, or de-identify it.

11. SAFEGUARDS AND SECURITY

We maintain administrative, technical, and physical safeguards designed to protect personal information against loss, theft, and unauthorized access, disclosure, copying, use, or modification, taking into account the sensitivity of the information. No method of transmission over the Internet or method of electronic storage is completely secure, and while we strive to protect your personal information, we cannot guarantee absolute security.

12. YOUR PRIVACY RIGHTS

Subject to applicable law, you have the right to:

(a) access the personal information we hold about you and receive an account of how it has been used and to whom it has been disclosed;

(b) request correction of personal information that is inaccurate or incomplete;

(c) withdraw consent as described in Section 5; and

(d) make a complaint about our handling of your personal information.

To exercise these rights, contact our Privacy Officer using the details in Section 18. We may require information sufficient to verify your identity before responding, and we will respond within the timeframes required by applicable law. If we are unable to fulfill a request, we will explain the reason where we are required to do so.

13. MINORS

The Site and our services are intended for users who are at least eighteen (18) years of age or the age of majority in their jurisdiction of residence, consistent with the Terms. We do not knowingly collect personal information from individuals below that age without appropriate consent. If we become aware that we have collected such information without the required consent, we will take steps to delete it.

14. BREACH NOTIFICATION

In the event of a breach of security safeguards involving personal information under our control, we will assess the risk and, where the breach creates a real risk of significant harm, notify affected individuals and report the breach to the Office of the Privacy Commissioner of Canada (and to any other authority where required), and maintain records of the breach, in accordance with applicable law.

15. THIRD-PARTY WEBSITES AND SERVICES

The Site may contain links to, or integrate with, third-party websites and services that we do not own or control. This Privacy Policy does not apply to those third parties. We encourage you to review the privacy policies of any third-party services you use. Your interactions with those services are governed by their own terms and privacy practices.

16. RELATIONSHIP TO OTHER AGREEMENTS

This Privacy Policy is incorporated into the Terms by reference. In the event of a conflict between this Privacy Policy and the Terms with respect to the handling of personal information, this Privacy Policy governs. The licensing of content, royalty terms, and related rights and obligations are governed by the applicable subscription agreement, the Content Upload License & Representation Agreement, or other commercial licensing arrangement between you and Soundscape, and nothing in this Privacy Policy modifies those agreements.

17. CHANGES TO THIS PRIVACY POLICY

We may update this Privacy Policy from time to time. When we do, we will revise the "Last Updated" date above and, where the changes are material, provide additional notice as required by law or as described in the Terms. Your continued use of the Site after the effective date of an updated Privacy Policy constitutes acceptance of the changes to the extent permitted by law.
